4.2 Professional Standards

All engineering services are provided in accordance with:

• South African National Standards (SANS)

• Engineering Council of South Africa (ECSA) regulations

• Relevant industry codes and standards

• Professional best practices

4.3 Engagement Terms

• Services will be provided under a separate written agreement or proposal

• Scope of work will be clearly defined in project-specific documentation

• Fees, payment terms, and deliverables will be agreed upon before commencement

• Changes to scope may require additional fees and written amendments

4.4 Professional Indemnity

We maintain professional indemnity insurance as required by ECSA. Our liability is subject to the limitations set forth in Section 14 of these Terms.

4.5 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information

• Timely responses to requests for information

• Compliance with recommendations and specifications

• Obtaining necessary permits and approvals

• Payment of agreed fees

5. Products and Purchases

5.1 Available Products

We offer various products including:

• Training Materials: Course materials and certifications

5.2 Pricing and Payment

• All prices are in South African Rand (ZAR) unless otherwise stated

• Prices are subject to change without notice

• Payment must be made in full before delivery or access is granted

• We accept payment methods as specified on our website or invoices

• All sales are subject to applicable taxes

5.3 Orders and Delivery

• Orders are subject to acceptance by SSP Multiconsult

• We will make reasonable efforts to fulfill orders promptly

• Delivery times are estimates and not guaranteed

• Risk of loss passes to you upon delivery

5.4 Returns and Refunds

• Physical Products: May be returned within 14 days if unopened and in original condition

• Digital Products: Due to their nature, digital products are generally non-refundable once access has been granted

• Software Licenses: Subject to the specific license agreement

• Defective Products: Will be replaced or refunded at our discretion

• Return shipping costs are the responsibility of the customer unless the product is defective

5.5 License Grants

When you purchase software or digital content:

• You receive a non-exclusive, non-transferable license to use the product

• You may not copy, modify, distribute, or reverse engineer the product

• License terms are subject to the specific End User License Agreement (EULA)

• Unauthorized use may result in termination of license and legal action

6. SteelDesignPro 4.0 Application

6.1 License and Usage

• SteelDesignPro 4.0 is licensed, not sold

• One license permits installation on a single device unless otherwise specified

• The application is for professional use in structural steel design

• Users must have appropriate qualifications and knowledge

• The application is provided "as-is" with design calculations for reference

6.2 User Responsibility

• Users are responsible for verifying all design outputs

• The application is a tool to assist design; professional judgment is required

• Users must ensure compliance with current codes and standards

• Final designs must be reviewed and signed off by a qualified professional engineer

6.3 Updates and Support

• Updates and bug fixes will be provided as available

• Technical support is available via email at info@sspmulticonsult.co.za

• Support is limited to application functionality, not engineering consultation

• We reserve the right to discontinue support for older versions

6.4 Disclaimer

While every effort has been made to ensure accuracy, we cannot guarantee the application is error-free. Users must verify all calculations and designs independently.

7. SSPChat A.I. Tool

7.1 Service Description

SSPChat A.I. is an artificial intelligence assistant designed to help with:

• Construction standards and regulations

• Building inspections guidance

• Construction plan interpretation

• Safety standards information

• General construction and engineering queries

7.2 Usage Terms

• The tool is for informational and educational purposes

• Responses are generated by AI and should not replace professional advice

• You must not rely solely on AI-generated content for critical decisions

• We do not guarantee the accuracy or completeness of AI responses

7.3 User Conduct

When using SSPChat A.I., you agree not to:

• Use the tool for unlawful purposes

• Attempt to manipulate or exploit the AI system

• Submit malicious code or harmful content

• Violate intellectual property rights

• Impersonate others or provide false information

• Use the tool to generate spam or misleading content

7.4 Data Usage

• Conversations may be stored to improve the service

• We may analyze usage patterns to enhance functionality

• Personal information is handled according to our Privacy Policy

• You retain ownership of content you submit

7.5 Service Availability

• We strive to maintain service availability but do not guarantee uninterrupted access

• The service may be suspended for maintenance or updates

• We reserve the right to modify or discontinue features

8. Workshops and Training Programs

8.1 Registration and Payment

• Registration is required for all workshops and training programs

• Full payment must be received before the event unless otherwise arranged

• Prices include materials specified in the program description

• Group discounts may be available upon request

8.2 Cancellation and Rescheduling

• By Participant: Cancellations more than 14 days before the event receive full refund minus administrative fee. Cancellations within 14 days are non-refundable but may be transferred to another participant

• By SSP Multiconsult: We reserve the right to cancel or reschedule events. Participants will receive full refunds or alternative dates

• Force majeure events may necessitate cancellation without liability

8.3 Certificates and CPD Points

• Certificates of completion are issued to participants who attend the full program

• Continuing Professional Development (CPD) points are subject to approval by relevant professional bodies

• We assist with CPD documentation but cannot guarantee acceptance by all bodies

8.4 Participant Conduct

Participants must:

• Attend scheduled sessions punctually

• Respect other participants and instructors

• Not record or distribute course materials without permission

• Comply with venue rules and regulations

9. Website Use

9.1 Permitted Use

You may use our website for:

• Browsing information about our services

• Purchasing products and services

• Contacting us for enquiries

• Accessing resources you have purchased or been granted access to

9.2 Prohibited Activities

We grant you a limited, non-exclusive, non-transferable license to access and use our website and purchased products for their intended purpose only.

10.3 Restrictions

• Modify, adapt, or create derivative works

• Remove copyright or proprietary notices

• Use our trademarks or branding without authorization

• Reverse engineer our software or applications

For professional engineering services provided under a separate engagement:

• Liability is limited as specified in the project agreement

• Claims must be made within the time periods specified in the agreement

• Our professional indemnity insurance limits apply

14.4 Product Liability

For products purchased:

• Our liability is limited to repair, replacement, or refund of the purchase price

• We are not liable for consequential damages from product use or misuse

14.5 Exceptions

These limitations do not apply to:

• Death or personal injury caused by our gross negligence

• Fraud or fraudulent misrepresentation

• Liability that cannot be excluded by law

15. Indemnification

17. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

• War, terrorism, or civil unrest

• Labor strikes or disputes

• Pandemics or epidemics

• Utility failures or telecommunications outages

• Acts of God

The affected party must notify the other party promptly and make reasonable efforts to resume performance.

18. Termination

18.1 By You

You may terminate your use of our services at any time by:

18.2 By Us

We may suspend or terminate your access to our services immediately if:

Termination of general terms does not automatically terminate specific project agreements, which will be governed by their own terms.

19. Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction.

19.2 Negotiation

In the event of a dispute, the parties agree to first attempt to resolve it through good faith negotiation.

19.3 Mediation

If negotiation fails, the parties may agree to mediation before proceeding to litigation or arbitration.

19.4 Legal Action

Any legal proceedings must be brought in the appropriate court in Johannesburg, South Africa.

19.5 Time Limitation

Claims must be brought within one year of the event giving rise to the claim, or they are barred.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and SSP Multiconsult.

20.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

20.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

20.5 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and SSP Multiconsult.

21. Professional Registration

SSP Multiconsult operates in accordance with:

• Engineering Council of South Africa (ECSA) regulations

• South African Institution of Civil Engineering (SAICE) professional standards

• Relevant industry codes of conduct

Our professional engineers (Jeffrey Mahachi, Pr.Eng, PhD, FSAICE and others) are registered with ECSA and bound by its Code of Conduct.

22. Compliance with Standards

22.1 Design Standards

All engineering designs comply with applicable standards including:

• South African National Standards (SANS)

• SANS 10162 for structural steelwork

• Other relevant SANS, ISO, EN, and BS standards as applicable

22.2 Building Regulations

We comply with:

• National Building Regulations and Building Standards Act

• Occupational Health and Safety Act

• Other relevant South African legislation

22.3 Standards Updates

Standards and regulations change over time. We make reasonable efforts to stay current, but you are responsible for ensuring compliance with the most recent versions for your specific project.

23. Data Protection and Privacy

Your use of our services is subject to our Privacy Policy, which forms part of these Terms. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

We comply with the Protection of Personal Information Act (POPIA) of South Africa.
